Teaming Agreement

Pre-award contract between companies defining roles for a joint pursuit.
Published

A teaming agreement is a pre-award contract that defines roles, responsibilities, workshare, and exclusivity for companies
collaborating on a bid. It enables prime-subcontractor or joint venture arrangements and clarifies proposal contributions,
intellectual property, and post-award expectations. Well-constructed teaming agreements reduce ambiguity, manage conflict of
interest risks, and accelerate proposal development. Parties should align on key assumptions, pricing strategies, and compliance
obligations. Post-award, teaming agreements are typically superseded by subcontract agreements or JV operating agreements.
