A subcontract is an agreement under a prime contract in which a portion of the work is performed by another company. Subcontracts
must flow down applicable clauses from the prime contract (e.g., cybersecurity, labor, ethics) and define scope, deliverables,
schedule, pricing, and quality obligations. Prime contractors are responsible for subcontractor oversight and performance.
Subcontracting can add specialized capability, meet small business goals, and improve competitiveness. Effective subcontract
management includes due diligence, clear statement of work, performance metrics, and communication protocols.
