A legal agreement between two or more parties that governs the disclosure, use, and protection of confidential or proprietary information shared during a business relationship. Also commonly known as a Non-Disclosure Agreement (NDA), a Confidential Disclosure Agreement (CDA) is frequently used during business development, market engagement, capture activities, teaming discussions, due diligence, and bid or proposal preparation. It defines what information is confidential, the obligations of the receiving party, permitted uses of the information, and the circumstances under which disclosure is allowed. CDAs help protect commercially sensitive information, intellectual property, and business interests while enabling organisations to collaborate with confidence.
