A written agreement recording parties' intent to work together and their roles and key terms before a definitive agreement is signed.

A written agreement between two or more parties that records their intent to work together and outlines their respective roles, responsibilities, and key commercial terms before a definitive agreement is executed. In bid and proposal management, a Letter of Agreement is commonly used to secure the commitment of a teaming partner or subcontractor while the full teaming or subcontract agreement is being negotiated.
