A written agreement that records the mutual intentions, roles, responsibilities, or principles agreed between two or more parties before a formal contract is concluded. An MOU is often non-binding unless it expressly states otherwise. Similar to a Letter of Intent (LOI), but typically used to document mutual understanding rather than one party’s intention.
